Objectives
Contents The course, lasting six months, is divided into two didactic modules, one of a private nature and the other of a publicistic nature.
The first module is dedicated to the study of private law institutes that have a privileged connection with the problems related to economic and business sciences.
The second module deals with the general issues of Public Economy Law in the light of constitutional principles and the correlation link between the rule of law and market economy.

• Rights to intellectual property; intellectual property; industrial property; the characteristics of the rights on intangible assets; capacity and legal nature; copyright; the notion of creative processing; the right to industrial inventions; the know-how; the differences between copyright and patent protection.
• Credit securities.
• The economic and legal balance in the contract; the economic balance between the services; the economic and legal imbalance in business contracts; unfair terms; the consumer code and consumer contracts; the third contract.
• Individual contracts.
The contracts for the circulation of goods: the sale; the exchange; the carry-over; the appraisal contract.
The contracts for the enjoyment of the goods: the lease; the rent; the leasing; the rent to buy.
The contracts for the production of goods or for the provision of services: the contract; the work contract; the subcontracting; the engineering contract; the computer service contract; the car sharing; the transport; the warehouse; the commercial affiliation contracts (franchising); the factoring.
The contracts for the performance of acts or for the promotion of business: the mandate; the commission; the shipping; the agency contract; the mediation.
The banking contracts: the bank deposit; the opening of credit; the banking anticipation; the bank account; the bank discount.
The random contracts: the insurance; the annuity.
The loan agreements: the mortgage; the loan.
The guarantee contracts: the guarantee; the autonomous guarantee contract.
The direct contracts to settle a dispute: the transaction; the transfer of assets to creditors.
Particular attention is paid to the jurisprudential review carried out also in the seminar.

For the preparation it is essential to use an updated civil code, with the Constitution, the U.E. and C.E. treaties and the main complementary rules.
Teaching Methods Frontal lessons. Exercises.
The lectures will focus on theoretical topics and will be carried out by the teacher.
Attendance is optional, but recommended.
Evaluation methods Verification of learning:
Oral examination.
The verification of the learning will be carried out through an oral exam, composed of 5/6 questions aimed at verifying the knowledge of the reference material, as well as the ability to understand, autonomy of judgment and communication skills. To this end, particular attention will be paid to the appropriateness of the language used, the ability to establish links between different but interconnected topics and the ability to interact critically on the topics proposed by the teacher.
The oral exam will be evaluated with a score expressed in thirtieths.
